Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Reorderly, Inc.’s (“Reorderly,” “we,” “our”) website and services. By using Reorderly, you agree to these Terms.
1. The Service
Reorderly provides an AI-powered purchase order automation platform for Shopify merchants. The service monitors your Shopify inventory and sends purchase order emails to your configured suppliers when stock reaches your defined reorder thresholds.
2. Eligibility
You must be at least 18 years old and have authority to bind the business on whose behalf you are using Reorderly. By using the service, you represent that you meet these requirements.
3. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@reorderly.me if you suspect unauthorized access.
4. Acceptable Use
You agree not to:
- Use Reorderly to send unsolicited emails or spam to suppliers
- Attempt to reverse engineer, copy, or create derivative works of the service
- Use the service in any way that violates applicable law
- Interfere with or disrupt the integrity or performance of the service
- Access the service through automated means without our written permission
5. Shopify Integration
Reorderly accesses your Shopify store data via the Shopify Admin API under the permissions you grant during installation. We read inventory, product, and sales data. We do not modify your Shopify store data. You are responsible for ensuring your use of Reorderly complies with Shopify’s Partner Agreement and App Store guidelines.
6. Purchase Orders
Reorderly sends purchase order emails on your behalf to the supplier contacts you configure. You acknowledge that:
- You have reviewed and approved your supplier contacts, reorder thresholds, and quantities
- Reorderly is acting as your agent when sending POs
- You are responsible for the accuracy of supplier information and order quantities
- Reorderly is not a party to any agreement between you and your suppliers
- You are solely responsible for fulfilling any orders that result from POs sent by Reorderly
7. Fees and Payment
During the early access period, Reorderly is free to use. When paid plans launch, we will provide at least 60 days’ notice. Continued use after paid plans launch constitutes acceptance of the then-current pricing. Early access members will receive a lifetime discount as described at signup.
8. Intellectual Property
Reorderly and all associated technology, designs, and content are owned by Reorderly, Inc. and protected by intellectual property laws. You retain ownership of your data. You grant Reorderly a limited license to process your data to provide the service.
9. Data and Privacy
Your use of the service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. REORDERLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REORDERLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO REORDERLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF NO FEES WERE PAID.
12. Indemnification
You agree to indemnify and hold harmless Reorderly, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.
13. Termination
You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, with or without notice. Upon termination, your right to use the service ceases immediately. We will retain your data for 90 days after termination before deletion, during which you may request an export.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
15. Changes to Terms
We may update these Terms from time to time. We’ll notify you by email of material changes at least 30 days before they take effect. Continued use of the service after that date constitutes acceptance of the new Terms.
